Administrative System Terms of Use

Recorded Books, LLC ("RB") maintains the Recorded Books Gateway for Libraries Web site ("Site") as a paid subscription service for subscribing public libraries that are authorized by RB to make the Site available at no cost to library patrons. Your use of the Site Administrative System is conditioned upon your acceptance of the terms and conditions set forth below ("Terms of Use") as they may be amended from time to time. By logging into the Recorded Books Gateway Online for Libraries Administrative System and accessing or browsing the Site, you accept the following Terms of Use.

  1. You agree that you will not commercially distribute, copy, license or sell any data, text or other information or materials ("Communications") obtained from or through the Site.
  2. You agree to use the Recorded Books Gateway for Libraries Administrative System solely for the purpose of maintaining and supporting the subscribing library and the use by its patrons of the Recorded Books Gateway for Libraries system.
  3. You will assist in your library's efforts (a) to put the appropriate Service URL on its website in such a manner that it can only be accessed by valid library cardholders,(b) to prevent the use of the Service URL for any commercial purposes; (c) to make the Service URL available only on a cost-free basis to library cardholders; and (d) and keep secure all access codes to, and prevent unauthorized access to, the Service URL.
  4. You acknowledge that RB assumes no liability or responsibility for the quality or accuracy of the Communications transmitted through the Site or for errors, omissions or ambiguities with respect to Communications. In no event will RB be liable for any damages whatsoever arising out of your use of the Site, the Communications or the content thereof, including direct, indirect, incidental, consequential or punitive damages.
  5. WITHOUT LIMITING THE FOREGOING, THE CONTENT OF THE SITE IS PROVIDED "AS IS" AND WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTIBILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. Certain jurisdictions do not permit the exclusion of implied warranties and the foregoing exclusions may not apply to you.
  6. You represent and warrant to RB that Communications submitted by you or Users to the Site or to Site visitors do not and will not:
    1. infringe any third party's copyright, trademark or other proprietary rights or rights of publicity or privacy;
    2. violate any applicable law, including any laws regarding unfair competition, discrimination or false or deceptive advertising;
    3. be defamatory or libelous;
    4. be lewd, pornographic or obscene;
    5. promote violence or contain hate speech;
    6. contain viruses, Trojan horses, worms, time bombs, cancelbots or other similar harmful or deleterious programming routines.
    Further, you agree that you will hold harmless and indemnify RB and its affiliates from and against any claims by any third parties arising wholly or partially out of any breach by you of your representations and undertakings hereunder or your use of the Site, including any infringement of the copyrights, trademarks or other intellectual property or other rights of any person or entity or other unlawful activity.
  7. You understand that RB does not review, and has no control over, the Communications you receive through the Site and that in voluntarily receiving any such Communications you agree to hold RB harmless from and against any claims or causes of action you may have with respect to any Communications received or sent by you, including specifically the content of any such Communications.
  8. RB has not reviewed and does not review any of the Web sites that may be linked to the Site, and specifically disclaims responsibility for the content of any such sites.
  9. These Terms of Use shall be interpreted pursuant to the laws of the State of Maryland, without giving effect to its conflicts of laws principles, the state or federal courts of which shall have exclusive jurisdiction of any disputes arising hereunder.
